1️⃣ Check Eligibility

Before starting, ensure:

  • Only 1 shareholder (Indian citizen & resident in India)

  • Minimum 1 director (can be the same person)

  • Nominee is required (who will take over in case of death/incapacity)

  • No minimum paid-up capital requirement

  • Business must not be NBFC, investment, or Section 8 (non-profit)


2️⃣ Obtain Digital Signature Certificate (DSC)

  • Required for filing forms online

  • Issued by certified authorities

  • Needed for the director and subscriber


3️⃣ Apply for DIN (Director Identification Number)

  • DIN is required for the director

  • Can be applied through the SPICe+ form during incorporation


4️⃣ Name Reservation (SPICe+ Part A)

  • Apply for name approval via MCA portal

  • Name must end with: “Private Limited (OPC)

  • Ensure name is unique and not trademarked

5️⃣ Prepare Required Documents

  • PAN Card
